An Audit Committee shall be elected by the Board of Directors at its annual meeting. In addition to other duties assigned to it by the Board of Directors, the Audit Committee shall oversee the corporation's audit process, including communicating with the auditors and the corporation's staff; review of the audit and management letter process; and recommending to the Board of Directors potential audit firms.
